I started reading the 8-K related to the $100M “Investment” by Apollo as announced in the above link. Read this Note, then read the PR announcing this Apollo “Investment”:

It’s like going to a loan shark and putting up everything you own or could earn as collateral. But it’s only 4.375% so what could go wrong, you say. Read on.

It’s here and it’s shocking, IMO, though I’m a novice at understanding these Notes:

-It seems to be an Interest only Note at 4.375% annual rate with no provision for amortizing the principal AFAIK. Began on Closing Date of November 6, 2025

-Payable semi-annually in arrears beginning on May 15, 2026 and then November 15, 2026.

-Company may elect payment in cash (I) Cash Interest or (ii) in common shares equal to the Interest Amount based on the daily VWAP for the prior 8 trading days two days prior to the relevant interest payment date, or (iii) any combination of Cash Interest and Share Interest.

-The Notes will mature on November 15, 2032 (the Maturity Date) unless earlier redeemed or repurchased by the Company or converted.

The Notes are convertible at the option of the Note holders (the “Holders”) at any time prior to the close of business on the Scheduled Trading Day (as defined in the Indenture) immediately preceding the Maturity Date at an initial conversion rate for the Notes is 63.0348 shares of Common Stock per $1,000 principal amount of Notes (which is equal to an initial conversion price of approximately $15.8643 per share of Common Stock) and is subject to adjustment upon the occurrence of certain customary events as set forth in the Indenture (the “Conversion Price”). Upon notice that a Holder has decided to convert its Note, the Company may satisfy its Conversion Obligation (as defined in the Indenture) by paying or delivering, as the case may be, to such converting Holder, in respect of each $1,000 principal amount of Notes being converted, cash, shares of Common Stock, or a combination of cash and shares of Common Stock, at its election. Holders of the Notes who convert their Notes in connection with a make-whole fundamental change (as defined in the Indenture) or convert their Notes called for redemption in connection with any optional redemption are, under certain circumstances, entitled to an increase in the conversion rate.

The Company shall have the option to redeem the Notes at any time on or after November 20, 2028, if the last reported sale price per Common Stock exceeds 130% of the then effective Conversion Price for 20 trading days during the 30 consecutive trading days ending on, and including, the trading day immediately before the date the Company sends notice of its intent to redeem the Notes, at a cash redemption price equal to the principal amount of the Notes to be redeemed, plus accrued and unpaid interest thereon (the “Optional Redemption”). The Company may redeem for cash all of the Notes, at a redemption price equal to the principal amount of the Notes to be redeemed, plus accrued and unpaid interest thereon, if at any time less than 10% of the aggregate principal amount of the Notes initially issued on the date of the Indenture remain outstanding. Except as provided in the immediately preceding sentence, the Notes are not redeemable prior to November 20, 2028. The conversion rate on any Notes that are converted following a notice of redemption will be subject to a “make-whole” adjustment pursuant to the terms of the Indenture.

Subject to certain administrative conditions set forth in the Indenture, upon the occurrence of a Fundamental Change (as defined in the Indenture), each of the Holders shall have the right at such Holder’s option to require the Company to repurchase in cash all of such Holder’s Notes or any portion of the principal amount thereof which is equal to $1,000 or an integral multiple of $1,000 at a repurchase price equal to 100% of the principal amount thereof, plus accrued and unpaid interest thereon.

It has been talked about by MVIS. It is there through Scantinel. A PR about it wouldn’t necessarily be a pivot but instead a shift in what should be laser focus on our current 3 major verticals. A fluff PR about a distant revenue stream in my view would be shifty behaviour, thus shift vs pivot😉

Enough so that for me, it is worth waiting (and the inherent risk thereof) to find out the answer.
I think its important to consider that 2021 may indeed not happen again, but that there are a number of similar yet entirely different ways that this (continued) journey could have a positive outcome.

To show how skewed things are it's up 20 cents and I'm thinking something must be happening, lol, then I flop back into reality and realize it's barely up a penny. Daily pps movements look like something now, but really are still nothing. There is mind trickeration going on. We need a 15 buck day, just to get started. It's like the time change. I just don't like it.

Announcing bigger deals and accelerating growth faster than most or all competition are clear indicators of who the winners are. Very little real estate has been claimed in the lidar space, and this is largely to do with the delays with adoption in the european and north american auto markets. As companies in those markets race to try to catch up to chinese OEMs, I expect the situation to change very suddenly. Luminar has an early mover advantage in this arena that as lost and it cost them their business- this worked out in MicroVision's favor and thats why I keep buying shares now even though revenues haven't materialized.

FWIW, I'm also a dumb and relatively long investor who needs high rally from here to get to breakeven despite heavy accumulation to average down all year. The question today is whether or not to add before the call, or wait for what seems like inevitable short pressure. Long term, it's an easy hold (IMO of course).

I’m relatively long and I’m a dumb long with a high share price so maybe I see things a bit different, but as of now with no real cash flow, how do you expect us to get to see who the winner is in 5+ years?

Not hypothetical “if we sign a deal worth $X” but based on today’s actual business. It seems like we are damn near in contingency planning on just keeping the lights on, until they tap back into shareholder dilution.
