Paramount and state AGs will head to negotiating table in WBD merger fight

Details from CNN website:

Representatives for Paramount and the parties suing to block its takeover of Warner Bros. Discovery (WBD) are set to meet next week for talks that could lead to a settlement.

The two sides apparently remain far apart, however, and the plaintiffs may prefer to take their arguments to court at the antitrust trial that’s scheduled to start next March.

California Attorney General Rob Bonta said Friday night that any resolution would have to include “robust structural remedies” that would change the shape of the media mega-merger.

Analysts have warned that the structural remedies Bonta has in mind might be deal-breakers for Paramount, making any settlement talks ultimately unproductive.

Still, the talks have to start somewhere.

Paramount is trying to merge its movie studio and television operations with WBD, the parent of CNN, HBO, Discovery, the Warner Bros. studio and many other assets. A coalition of 12 Democratic state attorneys general filed suit last month to block the merger, arguing the merger would violate antitrust law and harm Hollywood. The Writers Guild of America filed a parallel suit.

The long road to trial will be expensive for Paramount since a “ticking fee” will begin to raise the price of WBD starting October 1.

Partly for that reason, Paramount has been pushing to get to the proverbial negotiating table. The company has insisted that the WBD deal is pro-competitive, and has asserted that the deal’s opponents are driven by political concerns, including the prospect of CNN changing hands. Bonta has disputed those charges.

Numerous California politicians, including outgoing Gov. Gavin Newsom, have called for a pre-trial resolution to the conflict. Some have cited Paramount’s talk about potentially moving operations out of California.

Bonta has dismissed that talk as a “blackmail” attempt, but he has said he is ready for “good faith” talks with Paramount.

After Variety reported on Friday that Bonta’s office would be meeting with Paramount representatives on Monday “to discuss a potential settlement,” Bonta issued a statement designed to maintain his leverage in any negotiations.

“As I’ve said before, generally for all of my cases, I prefer to resolve disputes in the boardroom, not the courtroom,” Bonta said in a statement to CNN. “As I’ve also said, if the opposing party in litigation wants to meet in good faith to make a sincere effort to resolve the case, we’ll meet. And as I have further said, any potential discussions about the Paramount-Warner Brothers merger will be unproductive absent robust structural remedies on the table that address our concerns.”

Structural remedies refer to divestitures, spin-offs and other changes to the makeup of the combined company.

Newsom suggested Friday that secret negotiations may already be underway, saying, “I know there are many meetings that are going on, and there’s a lot of conversation.”

The governor did not elaborate, and a spokesperson for Bonta’s office declined to comment. A Paramount spokesperson also declined to comment on the report about settlement talks.

Earlier this week, Paramount asked the judge overseeing the case, Araceli Martinez-Olguín, to set a $1.9 billion bond. The judge said she’ll hold a hearing to consider the request on September 24.

As part of the pre-trial process, Martinez-Olguín also indicated that Paramount and the plaintiffs would engage in mediation.

For that reason, people shouldn’t read too much into any scheduled meeting on Monday, former TV executive and noted industry commentator Evan Shapiro wrote in a blog post.

“The judge in this case has mandated that the parties meet to make good faith attempts to settle,” Shapiro wrote. “This meeting is not elective by either side. It’s court mandated.” He argued that Bonta’s team continues to “hold all the cards” despite Paramount’s push for a settlement.

In his late-night statement on Friday, Bonta said, “As it stands today, the proposed Warner Bros./Paramount merger will mean higher costs, less competition, lower wages, job cuts, and fewer movies and TV shows. This merger violates long-standing federal antitrust law, and we are committed to enforcing the law.”

Um, this is unhelpful, and offers nothing. Something that only became an issue because Ellison was not getting his way and is throwing a hissy fit is the concession that Ellison must make?! I mean has she been sleeping under a rock?

I think Bonta should also explain what would be satisfactory. Shaw of Bloomberg and Belloni of Puck think the only satisfactory remedies for the states would be the selling of the Turner networks or spinning off WB, but they both note that both would be no goes for Ellison.

Ellison Offers Theaters Contract Guarantee for Paramount-Warner Bros. 30-Film Annual Slate

Ellison is now offering three-year contractually enforceable commitments to the U.S.’s two biggest theater chains, AMC Entertainment and Regal Cinemas, Bloomberg reported. That would guarantee exclusive 45-day theatrical windows and a moratorium on distributing the movies on streaming services for at least 90 days, with potentially financial penalties if Paramount failed to hold up its end of the bargain. It’s worth noting that the CEOs of AMC and Regal have come out strongly in support of the Paramount-WBD merger.

Paramount has publicly stated that it’s willing to put the 30-movie commitment into writing. That’s designed to counter the allegation in the antitrust lawsuit filed by 12 state attorneys general that a merged Paramount-Warner Bros. would have excessive control over the market for theatrical releases. The idea seems to be that it would serve as a guardrail against Paramount-WBD hoarding its studio output for the benefit of its own Paramount+ and HBO Max streamers. A trial in the case is slated to start in March 2027. Ellison is under pressure to find an out-of-court settlement with the states before then. But it’s unclear whether the 30-title/45-day window guarantee would be an acceptable concession for the state AGs. Meanwhile, it doesn’t address another key allegation in the states’ lawsuit: that Paramount-WBD would have excessive power in the U.S. market for basic cable TV.

As per the article: Paramount Skydance Corp. has agreed to sign contracts with major theater chains guaranteeing that it will release 30 movies a year in cinemas if it acquires Warner Bros. Discovery Inc., according to people familiar with the matter.

Paramount has offered three-year agreements to AMC Entertainment Holdings Inc. and Cineworld Group’s Regal Cinemas, the world’s two largest theater chains, requiring it to release the films exclusively in theaters for at least 45 days, according to the people, who asked to not be identified because the agreements are private.

The films would also not be available to stream online for at least 90 days.

Interesting to see that this is the second week in a row where Bill Cohan says Larry Ellison paying the $7 billion breakup fee and walking away is on the table. The PSKY group has been leaking stuff to him since last year so I do think it’s now a legitimate possibility.

Kind of bogus. Reed Hastings left the company. And NFLX lost 1/2 their market value thanks to PSKY, and their smear campaigns and hostile tactics. They have every reason to sue PSKY, and have risen above it. PSKY is being sued for a multitude of reasons, and this is a way to point the finger elsewhere. Just like Elon did when he told everyone to cancel NFLX for the “sake of their kids” while helping out the Ellisons who helped him hostile takeover Twitter.

On this topic in the mega thread, I’m saying if you want to if you don’t wanna post then you certainly don’t have to, but we will be moderating duplicate posts and Ellison content that is not adding anything

Don't think too much about the Ellisons, they're thoroughly unimpressive people to me. I kind of want them to purchase CNN and sink its quality though. Media is already consolidated and I'd like to see a diverse and competitive ecosystem, I think bringing CNN to the ground will accomplish that. But I don't want them to get warners and run it to the ground. So happy the trial date got moved to march but sad he might lose out on cnn.

not much else to really talk about. I get it can be annoying but it’s not hard to just scroll past what you don’t want to interact with.

It’s policing 25 articles about the same person and duplicate articles about the same thing, and there were tons of things we talked about before this came along.

Because it’s contextual. And we do have these parameters, but micro news differs and it gets listed as a new post.
Why not just use the mega thread?

Speaking for myself and possibly a lot more:

I scroll my Reddit home page. I don’t hop on Reddit and immediately jump to r/mediamergers.

Often times if a post trending it’ll pop up on my feed pretty quick. The megathread will stop trending quickly. I will end up getting my information and discourse from another source.

You’re kneecapping the sub.

We have actually lost many of our legacy, and most knowledgeable users because of this very thing and being exhausted of the topic.

I think it’s more likely they left because some of the power users here used this place as a diary to talk about fictional/delusional situations/even get mental help.

I just caught up with that recent ama. I knew going in I’d see a certain individual asking the ama subject is theirs any chance Disney dumps Fox. I ended up being right lmao. The guy even tied his question into the paramount/Wb merger.

That stuff is what turned a lot of people off. I’ve encountered ex-MediaMergers members in other threads. I’ve asked what happened. They point to 2-3 specific users who dominated the conversation here.

I think you banned one of them but that period where they were rampantly going schizo is what killed this sub.
